Ross Aronstam & Moritz, together with Davis Polk & Wardwell, successfully represented common directors and former senior executives of Alphonso Inc. in expedited Section 225 litigation in the Court of Chancery challenging the actions of Zenith Electronics and LG Electronics (Zenith’s ultimate parent) in using their controlling interest in Alphonso to reorganize the company and attempt to remove the common directors from Alphonso’s Board. The Court of Chancery’s 102-page post-trial opinion ruling in January 2024 found in our clients’ favor on the Section 225 claim and restored the common directors to Alphonso’s Board.
