In re McDonald’s Corp. Stockholder Derivative Litigation, C.A. No. 2021-0324-JTL (Del. Ch. 2023)

Ross Aronstam & Moritz, together with Munger, Tolles & Olson LLP, successfully defended the Board of Directors of McDonald’s Corporation against stockholder derivative litigation concerning the termination of McDonald’s CEO and oversight of efforts to prevent sexual harassment, obtaining dismissal of the complaint for failure to state a claim.  The same team also won judgment in favor of McDonald’s in a related books-and-records trial under 8 Del. C. § 220 that sought to compel production of materials concerning the termination and the company’s anti-harassment and DEI efforts. Detectives’ Endowment Ass’n, et al. v. McDonald’s Corp., C.A.
