Brad Aronstam and Mike Sirkin Present at PLI's Delaware Law Developments 2023: What All Business Lawyers Need to Know seminar in New York
On May 1, 2023, Ross Aronstam & Moritz partners Brad Aronstam and Mike Sirkin presented at PLI’s Delaware Law Developments 2023: What All Business Lawyers Need to Know seminar in New York.
Brad, who served as Co-Chair of the program, led the “Recent Delaware Updates” panel. Among other things, that panel discussed Caremark and the continued evolution of oversight litigation, special litigation committees and related independence considerations, and recent developments in aiding and abetting litigation.
Mike spoke on the “Controlling Stockholder Litigation Update” panel, which addressed recent cases involving entire fairness review (including dual-class stock issues) as well as recent MFW and SPAC litigation developments. In particular, Mike spoke about the guidance provided by the Court of Chancery in recent SPAC decisions, and how SPAC litigation might look in the future.
