Chevron Pipe Line Company v. Sunoco Pipeline, L.P., et al., C.A. No. 8573-VCL (Del. Ch. 2014)
Ross Aronstam & Moritz, together with King & Spalding, represented Chevron Pipe Line Company, which was a minority stockholder of West Texas Gulf Pipeline Company, in a derivative suit brought against West Texas Gulf's controlling stockholder, Sunoco Pipeline, L.P. and certain individual defendants. Chevron Pipe Line alleged that Sunoco Pipeline and the individual defendants had breached their fiduciary duties by causing West Texas Gulf to enter into an eight-year pipeline lease on terms that were unfairly favorable to Sunoco Pipeline. Shortly before trial, the parties agreed to resolve the action via a share purchase by Sunoco on confidential terms.
