Filipowski, et al. v. SilkRoad, Inc., et al., C.A. No. 9890-VCL (Del. Ch. 2015)

Our firm, together with Proskauer Rose LLP, represented SilkRoad, Inc., a venture-backed software company, in an action brought by a founder and several early stockholders challenging an inside round of new financing.  Following a ratification under new Section 204 of the Delaware General Corporation Law and highly expedited litigation, the company reached a favorable, global resolution on the first day of trial.
